Saw it tonight and I thought it was pretty well done.
I think the characters were well written, with a few exceptions (I feel like they would have reacted differently in some parts based on how we as the audience were introduced to them), but overall, very convincing. The action was suspenseful, and well driven. Despite what some people might think, I think Shia LaBeouf is a pretty damn good actor, and played the part of Jerry Shaw convincingly, with the heart the character deserved.
The downsides - well, without giving too much away, I was disappointed with the villain(s). Seemed overused. I was very excited with the possibilities near the beginning, and it progressed in a very "edge-of-your-seat" fashion, but I think it lost some of it's steam when the actual villain(s) was/were revealed. (see what I did there? Don't want to give anything away. )
Overall, I'd say go see it. I'll probably end up getting it on DVD too - had some nice elements I'd love to use in future stories.
